These terms apply to all services and products of Optimize B.V. (“Optimize”). These terms (the “User Terms”) govern your access to and use of the app (the “App”). You must read the User Terms carefully and agree to them before you open or use the App. Your acceptance of these User Terms establishes a contractual relationship between you and Optimize. If you do not agree to these User Terms, you may not access or use the App.
Optimize Service: services delivered directly by Optimize to you, including but not limited to lifestyle advice based on the personal data you have provided about your lifestyle and the personal data about you that we receive from our External Service Providers.
External Service Providers: independent third parties, including but not limited to independent providers of laboratory analysis of your blood.
External Services: services and products delivered to you by independent External Service Providers, such as blood-laboratory services. These services are made available to you through the use of the App Services, as defined below;
Optimize: Optimize B.V., a private company with limited liability incorporated in the Netherlands and registered with the Dutch Chamber of Commerce under number 93488866;
Optimize Services: services delivered directly by Optimize to you, including but not limited to interpreting the personal data you have provided about your lifestyle and the personal data we receive from our External Service Providers in order to give you personalised lifestyle advice.
The services that Optimize offers you (together, the "App Services") are:
the Optimize Services;
access to and use of Optimize’s mobile applications through which you can request
and receive Optimize Services and/or External Services; and
collection and payment-processing services that allow us to charge you and remit those amounts either to External Service Providers for External Services or to Optimize for Optimize Services.
These User Terms govern your use of the App Services in the Netherlands. If you access and use the App Services in another country, country-specific terms may apply, which you can find in the App.
Unless expressly agreed otherwise in writing, the App Services are provided solely for your personal, non-commercial use.
Where available, you may request and receive External Services or Optimize Services via the App.
For External Services, the App functions as a platform that enables External Service Providers to deliver those services to you. Optimize itself does not perform External Services. Each External Service Provider is solely responsible for its own External Services, and Optimize is not responsible for the quality of their performance.
External Service Providers (for External Services) and Optimize (for Optimize Services) are free to accept or decline any service request. Acceptance will be communicated to you on behalf of the relevant provider via the App and will create a direct contract between you and the External Service Provider(s) (for External Services) and/or between you and Optimize (for Optimize Services).
For certain External Services you may have to agree to separate terms before you can use those External Service(s).
The External Service Provider is responsible for all obligations arising from the provision of the External Services.
The Optimize Services and the External Services are not intended to diagnose, treat, cure or prevent any medical condition and are no substitute for professional medical care. We may suspend or terminate our services to you if we believe you should seek medical advice.
If you have a heart or other medical condition, consult your physician before using the App, starting an exercise programme or changing your diet. In an emergency, stop using the Optimize App immediately and seek medical help.
Unless expressly stated otherwise, Optimize’s devices, services and algorithms have not been approved by health-care authorities for medical purposes, and the App does not qualify as a medical device. Only your health-care professional can diagnose a disease or condition. You remain responsible for sharing your medical data with that professional and for following their advice rather than relying on information obtained through the App.
By paying for Optimize Services or External Services, you waive any right to claim reimbursement from an insurer. Optimize is not responsible or liable if you cannot obtain reimbursement and is under no obligation to refund any amount.
The App can be downloaded or opened on most modern mobile devices with an internet connection and a current operating system such as Android or iOS.
You are responsible for obtaining network access and for all charges of your mobile provider, including data use while using the App. You are also responsible for having compatible devices and operating systems, including any necessary software or hardware updates.
To use the App Services you must register in the App and create an account. At registration you must be eighteen (18) years old—or the age of majority where you register, if different—unless specific External Services impose other age requirements.
You must provide certain personal data—such as your phone number and e-mail address—to register. To use the App Services, Optimize Services or External Services you may have to add at least one valid payment method (credit card, debit card or another accepted method) and, for some Optimize Services, additional information such as your home address or supporting documents.
You are not obliged to sign in to, or continue using, the App or the External Service Providers. You may stop using the App at any time without notifying us.
We may temporarily restrict your access to, or use of, the App Services if we suspect a breach of these User Terms or receive a fraud complaint.
When you use the App we may recommend Optimize-provided or third-party services and products that we believe are relevant and useful to you—e.g. dietitians, restaurants or shops that suit your lifestyle—through our recommendation systems.
When you use the App Services you must comply with all applicable laws. You may use the App Services only for lawful purposes and for the purposes for which they are intended as described in these User Terms.
You must provide accurate and complete information when you register an account and whenever you use the App Services.
Credits: Through the App you can purchase credits to pay for Optimize Services and External Services. Credits have no monetary or other value outside the App, are non-transferable and non-refundable, and cannot be redeemed for cash.
Charges for the App Services: Apart from credits, no fee is charged for using the App. We reserve the right to introduce usage fees; in that case we will notify you in writing in advance and give you the opportunity to terminate these User Terms before such fees take effect. If you choose to terminate, you will no longer have access to the App Services.
We also reserve the right to introduce a fee for specific features in the App. Separate terms may apply to those features.
Charges for External Services: When you submit a request through the App you agree to pay the relevant fees shown in the App and are responsible for any charges or fees linked to your account.
Fees may change from time to time in the App.
Fees include all applicable taxes, including VAT.
Subject to your compliance with these User Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, revocable and non-sublicensable licence to install and/or use the App on your device solely for your own use and to access and use information made available through the App. All rights not expressly granted here are reserved to Optimize and its licensors.
The license is subject to the following conditions. You shall:
not modify, merge, translate, reverse-engineer, decompile, disassemble, decode, gain access to or otherwise alter the App software, nor attempt to discover its source code;
not supply, disclose, distribute, publish or make available the App software (in source or object form) or any data from the App to any third party, and not allow any third party to use or access the App or such data, except as expressly permitted under these User Terms; and
not use the App for any unlawful or illegal purpose.
